Terms of Service

1. Accounts & Eligibility

You must be at least 18 years old and able to form a binding contract. You are responsible for the accuracy of registration information, for maintaining the confidentiality of your credentials, and for all activity under your account. Notify us promptly of any unauthorized use.

2. Subscriptions, Fees & Billing

• Paid plans are billed in advance on a recurring basis unless stated otherwise.
• Fees are non-refundable except as required by law or expressly stated.
• We may change pricing with prior notice; changes take effect on your next billing cycle.
• You are responsible for applicable taxes. Overdue amounts may result in suspension.

3. Acceptable Use

You agree not to misuse the Services. You will not:

• Violate any law or the rights of others;
• Upload malware or attempt to disrupt, probe, or gain unauthorized access to the Services;
• Send unlawful, deceptive, or unsolicited bulk communications (spam);
• Reverse engineer, resell, or use the Services to build a competing product except as permitted by law;
• Exceed rate limits or use the Services in a way that impairs others.

4. Customer Data & Ownership

You retain all rights to the data you and your users submit to the Services (“Customer Data”). You grant us a limited license to host, process, and transmit Customer Data solely to provide and improve the Services and as instructed by you. You are responsible for the accuracy and legality of Customer Data and for obtaining any necessary consents.

5. Intellectual Property

The Services, including all software, content, and trademarks, are owned by OneBusiness or its licensors and are protected by intellectual-property laws. Except for the rights expressly granted to you, we reserve all rights.

6. Third-Party Services

The Services may integrate with third-party products. Your use of those products is governed by their terms, and we are not responsible for them.

7. Confidentiality

Each party may access confidential information of the other. The receiving party will protect such information and use it only to perform under these Terms.

8. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ONEBUSINESS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR DATA. OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU PAID FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

10. Indemnification

You will defend, indemnify, and hold harmless OneBusiness from claims arising out of your Customer Data, your use of the Services, or your breach of these Terms, to the extent permitted by law.

11. Term & Termination

These Terms remain in effect while you use the Services. You may stop using the Services at any time. We may suspend or terminate access for breach, non-payment, or to comply with law. Upon termination, your right to use the Services ceases; certain provisions survive termination.

12. Governing Law & Disputes

These Terms are governed by the laws of the jurisdiction in which OneBusiness is established, without regard to conflict-of-laws rules. The courts located in that jurisdiction will have exclusive jurisdiction over disputes, unless otherwise required by applicable law.

13. Changes to These Terms

We may modify these Terms from time to time. Material changes will be notified through the Services or by email. Continued use after changes take effect constitutes acceptance.
